Orange Invest (Padii)

1. Acceptance of Terms

By accessing or using Padii - the financial companion app by Orange Invest ("we", "us", "our") - you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our platform.

These Terms apply to all users of orangeinvest.app and the Padii application, including users on our waitlist, beta users, and all future registered users.

2. What Padii Is - and Is Not

Padii is a financial companion and educational tool. It is designed to help you understand financial concepts, explore your options, and feel more confident about money decisions.

Padii is not:

• A SEBI-registered Investment Adviser (RIA)
• A licensed insurance broker or IRDAI-registered entity
• A bank, NBFC, or regulated lending platform
• A substitute for professional financial, legal, or tax advice

Nothing Padii says constitutes personalised investment advice, a recommendation to buy or sell any specific financial product, or a guarantee of any financial outcome. Any financial decision you make based on a conversation with Padii is your own decision, made at your own risk.

If you need formal financial advice, we encourage you to consult a qualified and registered financial professional.

3. Eligibility

To use Padii, you must:

• Be at least 18 years of age
• Be a resident of India
• Have the legal capacity to enter into a binding agreement
• Not be barred from using financial services under applicable Indian law

By using Padii, you represent and warrant that you meet these requirements.

4. Your Account

When you create an account with us, you agree to:

• Provide accurate, current, and complete information
• Keep your login credentials confidential and not share them with others
• Notify us immediately at support@orangeinvest.app if you suspect unauthorised access to your account
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in behaviour that harms other users or our platform.

5. How You May Use Padii

You are granted a limited, non-exclusive, non-transferable, revocable licence to use Padii for your personal, non-commercial use.

You agree not to:

• Use Padii for any unlawful purpose or in violation of any applicable law
• Attempt to reverse engineer, decompile, or extract the source code of our application
• Use automated tools, bots, or scripts to access or scrape our platform
• Impersonate another person or entity
• Attempt to manipulate or deceive Padii or use it to generate misleading financial content
• Use Padii to facilitate fraud, money laundering, or any other financial crime
• Resell, sublicense, or commercially exploit any part of our platform without our written consent

6. Financial Information Disclaimer

All information provided by Padii is for general informational and educational purposes only.

• Past performance of any financial product discussed is not indicative of future results.
• Financial markets are inherently risky. You may lose some or all of your invested capital.
• Padii's responses are generated with the assistance of artificial intelligence and may occasionally be incomplete, inaccurate, or not applicable to your specific situation.
• Orange Invest does not earn commissions or referral fees from any financial product recommendation made by Padii, unless explicitly disclosed to you at the time of the recommendation.
• You acknowledge that you are solely responsible for evaluating the appropriateness of any financial product or decision for your personal circumstances.

7. Third-Party Services and Partners

Padii may, with your consent, connect you with third-party financial service providers - including mutual fund platforms, insurance companies, loan providers, or credit card issuers. In such cases:

• Your relationship with that third party is governed by their own terms and privacy policies
• Orange Invest is not liable for the products, services, or conduct of any third party
• We will always seek your explicit consent before sharing your information with a third-party partner
• Any transaction you complete with a third-party partner is between you and that party

8. Intellectual Property

All content, branding, technology, and materials on orangeinvest.app and within the Padii app - including the name "Padii", our logo, design, and underlying AI models - are the intellectual property of Orange Invest and protected under applicable Indian and international intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any part of our platform without our prior written consent.

9. User-Generated Content

When you share information, feedback, or content with Padii - including voice inputs and chat messages - you grant Orange Invest a non-exclusive, royalty-free, worldwide licence to use that content for the purpose of:

• Delivering and improving the Padii service
• Training and refining our AI models (in anonymised and aggregated form only)

We will never publicly display your personal conversations or attribute content to you without your explicit consent.

10. Availability and Changes to the Service

We strive to keep Padii available at all times, but we do not guarantee uninterrupted access. We may:

• Update, modify, or discontinue features of Padii at any time
• Temporarily suspend the service for maintenance or security reasons
• Change these Terms with reasonable notice to users

Your continued use of Padii after any changes to the Terms constitutes your acceptance of the revised Terms. We will notify you of material changes via the app or the email address associated with your account.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Orange Invest and its founders, employees, and partners shall not be liable for:

• Any financial loss arising from decisions made based on Padii's responses
• Loss of data, profits, or business opportunities
• Any indirect, incidental, or consequential damages arising from your use of Padii
• Any errors or omissions in the information provided by Padii

Our total liability to you for any claim arising from your use of Padii shall not exceed the amount you have paid us in the 3 months preceding the claim, or ₹1,000 - whichever is lower.

Nothing in these Terms excludes liability for fraud, gross negligence, or wilful misconduct.

12. Indemnification

You agree to indemnify and hold harmless Orange Invest, its founders, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of Padii, your violation of these Terms, or your violation of any third party's rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms or your use of Padii shall be subject to the exclusive jurisdiction of the courts in Chandigarh, India.

We encourage you to contact us first at support@orangeinvest.app to resolve any concerns informally before pursuing legal action. We commit to responding to all disputes within 14 business days.

14. Termination

We reserve the right to suspend or permanently terminate your access to Padii at our discretion, with or without notice, if:

• You violate any provision of these Terms
• We are required to do so by law
• Your behaviour creates risk or liability for Orange Invest or other users

You may terminate your account at any time by contacting us at support@orangeinvest.app. Upon termination, your right to use Padii ceases immediately.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Orange Invest regarding your use of Padii, and supersede all prior agreements or understandings on the same subject matter.
