Orange Invest - Padii Financial Education and Information Platform

1. Acceptance of Terms

By accessing or using the Padii Financial Education and Information Platform ("Platform") operated by Orange Invest ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please discontinue use immediately.

These Terms apply to all users including waitlist members, beta users, and registered users of orangeinvest.app and the Padii application.

What Padii Is Not

• Not a SEBI-registered Investment Adviser (RIA) under the SEBI (Investment Advisers) Regulations, 2013
• Not an AMFI-registered Mutual Fund Distributor (ARN holder)
• Not an IRDAI-registered Insurance Broker, Agent, or Web Aggregator
• Not an RBI-regulated entity of any kind including NBFC, bank, or payment aggregator
• Not a Portfolio Manager registered under SEBI (Portfolio Managers) Regulations, 2020
• Not a Research Analyst registered under SEBI (Research Analysts) Regulations, 2014

All content, outputs, and responses generated by Padii constitute general financial information and publicly available educational content only. Nothing on this Platform constitutes personalised investment advice, a solicitation to buy or sell any security, insurance product, or financial instrument, or a guarantee of any financial outcome.

3. Eligibility

To use the Platform you must:

• Be at least 18 years of age
• Be a resident of India
• Have the legal capacity to enter into a binding agreement under Indian law
• Not be prohibited from accessing financial information under any applicable Indian law or regulation

4. Educational Content - Nature and Limitations

All educational content, responses, and information provided through Padii:

• May be incomplete, time-lagged, or subject to change without notice
• Is not verified or endorsed by any regulatory authority including SEBI, RBI, IRDAI, or AMFI
• Is generated with the assistance of artificial intelligence and may occasionally contain errors, omissions, or generalisations

Orange Invest makes no representation or warranty - express or implied - as to the accuracy, completeness, timeliness, or fitness for any particular purpose of the educational content on this Platform.

5. No Advisory Relationship

Your use of the Padii Platform does not create any advisory, fiduciary, broking, or agency relationship between you and Orange Invest. We are a financial education and information platform only. We do not act in any capacity that requires registration with SEBI, IRDAI, RBI, or any other Indian regulatory authority.

6. Your Account

When you register on the Platform, you agree to:

• Provide accurate and complete information
• Keep your login credentials confidential
• Notify us immediately at support@orangeinvest.app if you suspect unauthorised access
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in activity harmful to the Platform or other users.

You are granted a limited, personal, non-exclusive, non-transferable licence to use the Platform for lawful personal research purposes.

You agree not to:

All Platform content, technology, branding, design, and AI models - including the names "Orange Invest" and "Padii", our visual identity, and information methodologies - are proprietary to Orange Invest and protected under Indian and international intellectual property law.

You may not reproduce, distribute, or create derivative works from any Platform content without prior written consent.

10. User Inputs and Research Queries

By submitting queries - via text or voice - to the Platform, you grant Orange Invest a non-exclusive, royalty-free licence to process those inputs to:

• Deliver information responses to you
• Improve the accuracy and relevance of the Platform's information capabilities (using anonymised, aggregated data only)

Your individual queries will never be publicly attributed to you or shared with third parties in identifiable form.

11. Disclaimers

The Platform is provided "as is" and "as available". Orange Invest makes no warranties, express or implied, regarding:

• Content accuracy - research content is sourced from publicly available information and may be incomplete, time-lagged, or subject to change without notice. We do not verify or guarantee the accuracy of third-party data sources.

• AI-generated content - responses generated by Padii are produced with the assistance of artificial intelligence and may occasionally contain errors, generalisations, or omissions. Users should independently verify any information before relying on it for any purpose.

Orange Invest does not place orders, execute transactions, or facilitate any financial activity on behalf of users. No action is taken on your behalf through this Platform. Orange Invest is not responsible for any consequence arising from a user's independent decision to act on research content accessed through the Platform.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of competent courts in Chandigarh, India.
